1. Scope and customer agreements
ChurnAI (“we,” “us,” or “our”) provides customer intelligence software for business customers. These terms describe the general conditions for authorised use of our website and service.
These terms apply to your service agreement when incorporated by reference and accepted. Your customer agreement or order form identifies the contracting parties and agreed service. You must have authority to act for the business whose account and data you connect.
If provisions conflict, the accepted customer agreement controls; an applicable data-processing agreement controls for personal-data processing matters. Mandatory legal rights remain unaffected.
2. The service
ChurnAI uses authorised read-only integrations to provide context about customer accounts through MCP. You use that context in a compatible AI workspace, such as ChatGPT or Claude, to investigate changes and prepare work.
Your agreement defines available sources, features, deployment, support, and usage limits. Integrations depend on the source provider’s API and your permissions. ChurnAI’s read-only access does not permit changes to source records.
3. Your data and instructions
You retain your rights in the data you connect or provide. You authorise ChurnAI to access and process that data as needed to deliver the agreed service and carry out your lawful instructions.
You are responsible for having the rights, permissions, notices, and lawful basis needed to connect data and return it to your chosen AI workspace. Use permissions limited to the intended workflow.
Do not provide sensitive personal information, children’s data, or information subject to special regulatory requirements unless the use has been expressly agreed and the necessary arrangements are in place.
ChurnAI does not use customer data to train AI models. Our Privacy Policy explains account information, Pilot storage, providers, and data-handling practices.
4. AI workspaces and human review
You choose the AI workspace that receives customer context. Its terms and settings govern its processing, and you must ensure it is suitable for the information you authorise.
AI-generated summaries, explanations, scores, and recommendations may be incomplete, inaccurate, or out of date. Review the source evidence and apply human judgment before contacting a customer or making a business decision.
Do not use output as the sole basis for a decision producing legal or similarly significant effects on an individual.
5. Accounts and acceptable use
Keep account information accurate and credentials secure. You are responsible for authorised users, the permissions you grant, and maintaining the accounts and infrastructure your deployment needs. Report suspected compromised access and revoke permissions you no longer need.
You must not:
- Use the service unlawfully or infringe another person’s privacy, confidentiality, or intellectual-property rights.
- Access data, accounts, or systems without permission, or bypass access controls or agreed usage limits.
- Introduce malicious code, disrupt the service, or test its security without authorisation.
- Resell or provide unauthorised third-party access to the service.
- Copy or reverse engineer proprietary service components except where expressly permitted or protected by applicable law.
6. Pilots and commercial terms
Your customer agreement or order form sets out Pilot scope and duration, fees, payment schedules, taxes, renewal, cancellation, and refunds. Confirm these terms before starting a Pilot or paid subscription.
7. Ownership and confidentiality
ChurnAI and its licensors retain rights in the software, website, documentation, branding, and other service materials. Subject to your agreement, you may use the service for your authorised business purposes during the agreed term.
Each party must protect the other’s non-public information received through the service relationship and use it only for that relationship. Disclosure is limited to people and providers who need it for the agreed purpose and are subject to appropriate confidentiality obligations, or as required by law.
This obligation does not cover information lawfully received without restriction, independently developed, or made public without a breach. Confidentiality obligations continue after the service ends for as long as the information remains confidential, subject to the applicable agreement and law.
8. Availability and responsibility
The service depends on connected APIs, customer infrastructure, AI workspaces, and hosting providers. Interruptions, provider changes, permissions, and source-data quality can affect its availability or output.
We may make changes necessary to maintain the service, address security issues, or comply with law. Material changes affecting an agreed service are subject to the customer agreement and applicable notice requirements.
Except for express commitments in a customer agreement and rights required by law, we do not warrant uninterrupted operation, error-free output, or fitness for a particular business outcome.
Any agreed liability limits, indemnities, and remedies are set out in your customer agreement. ChurnAI remains responsible for its obligations, and nothing here excludes liability that cannot lawfully be excluded.
9. Suspension and termination
We may restrict access where reasonably necessary to address unauthorised use, a material breach, a security threat, or a legal requirement. Where reasonably possible and lawful, we will explain the issue and provide an opportunity to resolve it. Urgent protective action may be taken first.
Cancellation, termination rights, and their commercial effects follow your customer agreement. When access ends, stop using the service and revoke credentials or integration permissions as appropriate.
If you do not continue, we delete connected data under ChurnAI’s control within 30 days of cancellation or Pilot expiry, including backups, subject to legal retention requirements. The Privacy Policy explains the scope of deletion and treatment of account records.
10. Changes, disputes, and contact
We will revise the date above when we update these terms. Changes affecting an existing agreement follow its notice and acceptance requirements and applicable law.
If a provision cannot be enforced, the remaining provisions continue to apply to the extent permitted by law.
For questions or disputes, contact shajeed@trychurnai.com. Governing law and dispute procedures follow the applicable customer agreement, subject to mandatory legal rights.
